TERMS OF SERVICE.

These Terms (the “Terms”) govern your access to and use of Eumorphic, a software service operated by Inexcelsis, LLC (d/b/a NanoScript), a Florida limited liability company (“Eumorphic,” “we,” “us”). By creating an account or using the Service, you agree to be bound by these Terms.

1. The Service

Eumorphic is a multi-tenant SaaS platform for personal trainers and coaching businesses. Features may include client management, workout and meal plan generation, AI-powered direct-message handling, scheduling, payments, and content delivery to clients via the trainer's portal.

2. Eligibility + accounts

You must be 18 or older and operating a legitimate coaching or training business to use Eumorphic. You're responsible for keeping your credentials confidential and for all activity under your account. Notify us immediately at [email protected] of any unauthorized access.

3. Your obligations

You will: (a) comply with all applicable laws including data-protection laws (GDPR, CCPA, etc.), the Meta Platform Terms, and the Instagram Platform Policy when you connect those accounts; (b) obtain consent from your clients and prospects as legally required before processing their data through Eumorphic; (c) not use the Service for spam, harassment, illegal activity, or content that violates third-party rights; (d) not attempt to circumvent the AI quotas, security controls, or access controls of the Service.

4. AI features

Eumorphic offers AI-generated content (workout plans, meal plans, DM replies). The AI may produce inaccurate or inappropriate output. You are the qualified professional. You must review AI output before delivering it to a client and you remain solely responsible for the training and nutrition advice you provide. Eumorphic makes no medical, dietary, or fitness claims. AI replies sent via Meta DMs disclose their automated nature on the first reply in a conversation.

5. Plans, payments, refunds

Eumorphic is offered in tiers (Solo, Starter, Pro, Agency) with monthly subscriptions billed in advance via Stripe. Fees are non-refundable except where required by law. AI usage above your tier's included quota will be denied unless you upgrade or supply your own Anthropic API key. You may cancel at any time; cancellation takes effect at the end of the current billing period.

6. Stripe Connect

Trainers may use Stripe Connect to accept client payments through Eumorphic. Eumorphic does not collect a per-transaction platform fee on coaching package payments processed through Stripe Connect. Stripe's own processing fees apply. You are responsible for tax remittance, refunds to your clients, and disputes with Stripe.

7. Your content

You retain ownership of all content you upload (client records, plans, photos, messages). You grant Eumorphic a non-exclusive, worldwide, royalty-free license to host, store, and process that content solely as needed to provide the Service. We will not access, sell, or use your content except as described in our Privacy Policy.

8. Termination

You may terminate your account at any time via Settings or by emailing [email protected]. We may suspend or terminate your access if you breach these Terms, abuse the Service, or fail to pay. Sections 4, 7, 9, 10, 11, 13, and 14 survive termination.

9. Warranty disclaimer

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EUMORPHIC'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE IS LIMITED TO THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM. WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL.

11. Indemnification

You will indemnify Eumorphic against any third-party claim arising from your use of the Service in violation of these Terms or applicable law, including any claim by a client or prospect related to advice you delivered through the platform.

12. Changes

We may update these Terms. Material changes will be communicated to active tenants by email at least 14 days before they take effect. Continued use after the effective date constitutes acceptance.

13. Governing law + disputes

These Terms are governed by the laws of the State of Florida, USA, without regard to its conflict-of-laws rules. Any dispute will be resolved exclusively in the state or federal courts located in Miami-Dade County, Florida; both parties consent to the jurisdiction of those courts. You waive any right to a jury trial and to participate in any class action.

14. Miscellaneous

These Terms, together with the Privacy Policy, are the entire agreement between you and Eumorphic regarding the Service. If any provision is held unenforceable, the rest remain in effect. We may assign these Terms in connection with a corporate transaction; you may not assign them without our written consent.
